1. Who You Are Contracting With

These Terms & Conditions ("Terms") govern your use of Podi (podi.gg), a software-as-a-service platform. The Platform is operated by Odunze Onyekachi Emmanuel, doing business as Kempyre Groups ("Kempyre Groups", "we", "us", "our"), a sole proprietorship based in Ontario, Canada.

Podi is a product of Kempyre Groups.

2. Acceptance

By creating an account or using the Platform, you agree to these Terms and our Privacy Policy (podi.gg/privacy). If you do not agree, do not use the Platform.

You must be at least 14 years of age to use Podi. By accepting these Terms, you represent that you meet this requirement.

If you are using Podi on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3. Description of Service

Podi is a multitenant platform that allows community owners ("Owners") to create and manage gaming communities, including leagues, tournaments, seasons, and player rankings. Community members ("Members" or "Players") participate within communities created by Owners.

Podi is provided on a subscription basis. Free accounts are available with limited features. Paid plans (Pro and Club) unlock additional functionality as described on our pricing page.

4. Accounts

You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us immediately at Kachyodunze@gmail.com if you suspect unauthorised access.

You may not share your account, impersonate another person, or create accounts by automated means. We may suspend or terminate accounts that violate these Terms.

Usernames must not be offensive, infringe third-party trademarks, or impersonate real persons. We reserve the right to reclaim usernames that violate this rule.

5. Subscriptions and Billing

5.1 Billing processor

Paid plans are not yet available. When billing is introduced, payments will be processed by a third-party Merchant of Record who will handle transactions, applicable taxes, and currency conversion. This section will be updated before paid plans are enabled.

5.2 Subscription plans

Subscriptions are billed monthly or annually, in the currency shown at checkout (which is determined by your region). Prices are subject to change with 30 days' prior notice.

5.3 Free trial / refunds

If you are not satisfied with a paid plan, you may request a full refund within 14 days of the initial payment by contacting Kachyodunze@gmail.com. After 14 days, payments are non-refundable except where required by applicable law.

5.4 Auto-renewal

Monthly subscriptions renew automatically each month. Annual subscriptions renew automatically each year.

For annual subscriptions, in compliance with the Ontario Consumer Protection Act, 2002 (S.O. 2002, c. 30, Sched. A), we will send you a written renewal notice at least 30 days before the renewal date. The notice will state the renewal date, the price, and how to cancel. If we fail to provide this notice, you may cancel your subscription after the renewal date without penalty.

You may cancel auto-renewal at any time through your Billing settings or by contacting Kachyodunze@gmail.com. Cancellation takes effect at the end of the current billing period; you retain access until then.

5.5 Downgrades and plan limits

If you downgrade to a lower plan, your existing content is preserved but you will not be able to create new content that exceeds the lower plan's limits until you are within those limits. We will not delete your data on a downgrade.

6. Acceptable Use

You agree not to use Podi to:

  • Violate any applicable law or regulation
  • Harass, threaten, or abuse other users
  • Post content that is defamatory, obscene, or infringes third-party intellectual property rights
  • Attempt to gain unauthorised access to other accounts or our systems
  • Interfere with the performance or integrity of the Platform
  • Use automated bots or scraping tools without our written permission
  • Engage in match-fixing or fraudulent reporting of game results

We reserve the right to remove content and suspend or terminate accounts that violate these rules, with or without notice depending on the severity of the violation.

7. Community Owner Responsibilities

Owners who create communities on Podi are responsible for:

  • The accuracy of league and tournament results entered into the Platform
  • Compliance with applicable laws in their jurisdiction when managing their community
  • Ensuring their community rules do not violate these Terms or applicable law
  • Obtaining any necessary consents before inviting members to their community

Kempyre Groups is a platform provider. We are not responsible for disputes between community owners and members, or for the accuracy of game results.

8. Intellectual Property

Podi and its underlying technology are owned by Kempyre Groups. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose during your subscription.

You retain ownership of content you create on the Platform (community names, rules, match data). By uploading content, you grant us a worldwide, royalty-free licence to store, display, and process that content solely to provide the service to you.

The "Podi" name, the Kempyre Groups name, and associated logos are trade names and may not be used without our permission.

9. Privacy

Our collection and use of personal information is governed by our Privacy Policy at podi.gg/privacy. The Privacy Policy is incorporated into these Terms by reference.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KEMPYRE GROUPS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. You use the Platform at your own risk.

Nothing in these Terms limits any rights you may have under mandatory consumer protection laws in your jurisdiction, including the Ontario Consumer Protection Act, 2002 or any applicable provincial equivalent.

11. Limitation of Liability

TO THE EXTENT PERMITTED BY APPLICABLE LAW, KEMPYRE GROUPS' TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM IS LIMITED TO THE AMOUNT YOU PAID TO KEMPYRE GROUPS (NOT PADDLE) IN THE 12 MONTHS PRECEDING THE CLAIM.

KEMPYRE GROUPS IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These limitations do not apply to: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded under Ontario or Canadian law; or (d) any mandatory rights under the Ontario Consumer Protection Act, 2002 or applicable provincial equivalent.

12. Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

We encourage you to contact us first at Kachyodunze@gmail.com to resolve any dispute informally. We will make reasonable efforts to resolve disputes within 30 days.

Important — your rights: You have the right to bring claims in the courts of your province. Nothing in these Terms waives that right. Class actions are permitted under the Ontario Class Proceedings Act, 1992 and applicable provincial legislation and are not waived by these Terms.

13. Account Termination and Data

You may delete your account at any time from Account Settings. On deletion, your personal information is removed; however, your match history records within communities are anonymised (your name is replaced with "Deleted Player") to preserve the community's historical record.

If you own a community at the time of account deletion, you must first transfer ownership or delete the community. We will block account deletion if you have an active paid subscription — cancel the subscription first via Billing Settings.

We may suspend or terminate your account for violation of these Terms. On termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (intellectual property, limitation of liability, governing law) will do so.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email and by posting a notice on the Platform at least 30 days before the changes take effect. Your continued use of the Platform after that date constitutes acceptance of the revised Terms.

If you do not agree with updated Terms, you may close your account before the effective date.

15. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kempyre Groups regarding the Platform and supersede all prior agreements.

Severability. If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

Waiver. Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it later.

Language. These Terms are written in English and French. Both versions are equally valid. In the event of a conflict between the two versions as they apply to a Quebec resident, the French version shall prevail.
